These Terms of Service ("Terms") govern your access to and use of ShopSchedule ("Service"), operated by ShopSchedule ("we", "us", or "our"). By accessing or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account or using ShopSchedule, you agree to these Terms. If you do not agree, do not use the Service. If you are using the Service on behalf of a business, you represent that you have authority to bind that business to these Terms.

2. Description of Service

ShopSchedule is a web-based scheduling application designed for machine shops and small manufacturing businesses. The Service allows users to create, manage, and share production schedules.

3. Account Registration

To use ShopSchedule, you must:

  • Provide accurate and complete registration information
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized access
  • Be at least 18 years old

You are responsible for all activity that occurs under your account.

4. Acceptable Use

You agree NOT to:

  • Use the Service for any illegal purpose
  • Share your account credentials with unauthorized users
  • Attempt to gain unauthorized access to our systems
  • Interfere with or disrupt the Service
  • Reverse engineer or attempt to extract source code
  • Use automated systems to access the Service without permission
  • Upload malicious code or content
  • Resell or redistribute the Service without authorization

5. User Data

Your Data

You retain ownership of all data you enter into ShopSchedule ("User Data"). We do not claim any ownership rights to your User Data.

Data Use

We may access your User Data only to:

  • Provide and maintain the Service
  • Respond to support requests
  • Investigate potential violations of these Terms

Data Export

You may export your User Data at any time through the Service's export features.

Data Deletion

Upon account termination, we will delete your User Data within 30 days, unless required by law to retain it.

6. Payment Terms

Subscription Fees

Access to ShopSchedule requires a paid subscription after any free trial period. Fees are charged monthly or annually as selected.

Billing

  • Subscriptions are billed in advance
  • All fees are in US dollars unless otherwise stated
  • You authorize us to charge your payment method on file

Price Changes

We may change subscription fees with 30 days notice. Continued use after a price change constitutes acceptance of the new price.

Refunds

Subscription fees are non-refundable except where required by law. We may offer refunds at our sole discretion.

Free Trial

We may offer free trials. At the end of a trial, your account will be charged unless you cancel before the trial ends.

7. Service Availability

Uptime

We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to:

  • Scheduled maintenance (we will provide advance notice when possible)
  • Unscheduled emergency maintenance
  • Factors beyond our control

No Warranty

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • WE SHALL NOT BE LIABLE FOR ANY LOSS OF PROFITS, DATA, USE, OR GOODWILL
  • OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM

These limitations apply regardless of the theory of liability (contract, tort, or otherwise).

9. Indemnification

You agree to indemnify and hold harmless ShopSchedule and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any rights of a third party

10. Intellectual Property

Our Property

ShopSchedule, including its software, design, logos, and documentation, is owned by us and protected by intellectual property laws. These Terms do not grant you any rights to our intellectual property except the limited right to use the Service.

Feedback

If you provide suggestions or feedback about the Service, we may use it without obligation to you.

11. Termination

By You

You may cancel your account at any time through the account settings. Cancellation takes effect at the end of your current billing period.

By Us

We may suspend or terminate your account if:

  • You violate these Terms
  • You fail to pay subscription fees
  • We are required to by law
  • We discontinue the Service (with 30 days notice)

Effect of Termination

Upon termination:

  • Your right to use the Service ends immediately
  • We will delete your User Data within 30 days (unless legally required to retain it)
  • Provisions that should survive termination will remain in effect (including Limitation of Liability, Indemnification, and Governing Law)

12. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes via email or through the Service at least 30 days before they take effect. Continued use after changes take effect constitutes acceptance of the new Terms.

13. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Delaware.

14. Dispute Resolution

Before filing a legal claim, you agree to attempt to resolve disputes informally by contacting us. If we cannot resolve the dispute within 30 days, either party may proceed with formal proceedings.

15. General Provisions

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and ShopSchedule.

Severability

If any provision of these Terms is found unenforceable, the remaining provisions will continue in effect.

No Waiver

Our failure to enforce any provision of these Terms does not waive our right to enforce it later.

Assignment

You may not assign your rights under these Terms. We may assign our rights to a successor in the event of a merger, acquisition, or sale of assets.
